2、 Product information and contract formation

- After you submit the order or inquiry, the rights and obligations of both parties shall be subject to the formal quotation/formal invoice (PI) issued by us and the sales contract confirmed and signed by both parties.
- Batch purchases, customized orders, and full container orders must be confirmed in writing by us (stamped contract or PI signature) before they can take effect.
- We have the right to provide explanations and cancel corresponding orders for obvious errors in pricing, insufficient inventory, or inability to produce.
3、 Price, Currency, and Taxes
- The prices on this website are based onUS Dollar (USD)Pricing, if other currencies are required, please confirm with the sales consultant separately.
- The price does not include destination port customs duties, value-added tax, and customs clearance fees, which shall be borne by the buyer.
- The validity period of the price shall be based on the quotation indicated; When the prices of raw materials fluctuate significantly, both parties can negotiate adjustments.
4、 Payment terms
- Conventional orders use30% deposit+70% payment before shipment (see copy of bill of lading)The specific proportion shall be subject to the contract agreement.
- Large orders can be negotiated using a letter of credit (L/C) and executed in accordance with the terms of the letter of credit.
- After the deposit is received, the order party enters production scheduling; Before the final payment is settled, we have the right to postpone the shipment and retain the ownership of the goods.
5、 Order changes and cancellations
- After the order enters the scheduling stage, if there is a need to change the specifications, quantity, or packaging, it must be confirmed in writing by both parties and may result in corresponding material loss and schedule adjustment costs.
- Customized products that have already been put into production should not be cancelled in principle; If cancellation is necessary, the costs incurred shall be borne by the buyer.
- Regular products can be cancelled through negotiation before scheduling, and the deposit will be processed according to the contract agreement.
6、 Intellectual Property and Customized Achievements
The design schemes, drawings, and molds independently developed by us belong to Youchuang Life; The brand logo, pattern, and packaging design provided and commissioned by the buyer for production shall be guaranteed by the buyer's legal rights and corresponding responsibilities, and the related results shall only be used for this order.
7、 Confidentiality
Both parties shall keep confidential the commercial information, pricing policies, customer information, and technical data of the other party that they become aware of during the cooperation, and shall not disclose them to any third party without the written consent of the other party.
8、 Limitation of Liability
- Unless otherwise required by law, our liability for compensation for a single order shall be limited to the actual amount received for that order.
- We are not responsible for any losses caused by incorrect specifications provided by the buyer, delayed confirmation, customs clearance obstruction, or force majeure.
9、 Clause modification and divisibility
Our company reserves the right to revise these terms, and the revised content shall take effect from the date of publication on this website. If any provision of this clause is deemed invalid or unenforceable, it shall not affect the validity of the remaining provisions.
